Mary Schapiro has some strong and important points: the primary markets are rife with information asymmetries, and someone needs to protect the interests of investors, rather than allowing banks to rip them off with legislated impunity.
Why are the banks still ripping us off? Simple. Because they can do it and no one says anything.

In my line of work I protect “muppets” from the people whom you seem to admire; with the aim preventing them from ever becoming “muppets” in the first place. IMO, the lawyers who signed-off on these “no-bid/no-fairness-opinion” deals have a lot of explaining to do to their clients.
